Montenegro’s New Company Law: Key Innovations Presented at the First Expert Roundtable

As a brief recall, Privredna komora Crne Gore / Chamber of Economy of Montenegro, in cooperation with Ministarstvo ekonomskog razvoja CG (Ministry of Economic Development MNE), hosted the first roundtable dedicated to the new Company Law, which is set to enter into full application on 1 January 2026.

At the event, our Nemanja Radovic, as a member of the expert team that worked on the final adopted text of the Law, presented its key innovations, highlighting the substantial modernisation and alignment with European standards. He emphasised the introduction of fully digital company formation, clearer corporate governance rules, new EU legal forms (SE and EEIG), more flexible procedures for LLCs, as well as the framework for cross-border mergers and divisions, together with strengthened director duties, disqualification rules, and gender balance requirements for public joint-stock companies.

He concluded that the Law enhances legal certainty, transparency, and operational efficiency, creating a more competitive investment environment in Montenegro.
